By accessing or using ZapBooks AI (“the Service”), operated by Subraps, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ZapBooks AI is an AI-powered invoice automation platform that provides:

• Automated invoice data extraction using AI technology
• Human validation and quality assurance
• Integration with accounting software (Zoho Books, Tally Prime)
• Multi-channel invoice submission (WhatsApp, Email, Upload)
• Approval workflow management
• GST compliance features

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Be at least 18 years old or have legal authority to enter contracts

4. Subscription and Payment

4.1 Pricing

ZapBooks AI offers various subscription plans. Prices are listed on our pricing page and are subject to change with 30 days' notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth herein.

4.3 Free Trial

New users may be eligible for a 30-day free trial with up to 50 invoices. No credit card is required for the trial period.

4.4 Refund Policy

We offer a 14-day money-back guarantee on all paid plans. To request a refund, contact support within 14 days of your first paid subscription.

5. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not upload malicious content or attempt to compromise the Service
• Not use the Service to process fraudulent or illegal invoices
• Maintain accurate financial records
• Comply with all applicable laws, including GST regulations
• Not share your account credentials with unauthorized parties
• Not reverse engineer or attempt to extract source code

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to:

• Collection and processing of invoice data for service delivery
• Use of anonymized data to improve AI accuracy
• Integration data sharing with connected accounting software

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Subraps and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your invoice data and financial records. You grant us a limited license to process this data for service delivery.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Temporarily suspend service for emergency maintenance
• Modify or discontinue features with reasonable notice

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “as is” without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not responsible for errors in AI-extracted data that are not caught during human validation

10. Indemnification

You agree to indemnify and hold harmless Subraps, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account:

• For violation of these Terms
• For non-payment of fees
• For suspected fraudulent activity
• At your request

Upon termination, you may export your data within 30 days. After this period, we may delete your data.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
